Terms of Service

These Terms of Service ("Terms") govern your use of the RecoverStripe payment recovery service ("Service") operated by RecoverStripe ("we," "us," or "our"). By connecting your Stripe account and using our Service, you agree to these Terms.
1. Service Description
RecoverStripe is an automated payment recovery service for businesses using Stripe. Our Service:
- Monitors your Stripe account for failed payment events via webhooks.
- Automatically retries failed charges using intelligent, decline-code-specific timing.
- Sends dunning email sequences to customers with failed payments to encourage card updates.
- Provides a dashboard with recovery metrics and activity logs.
The Service requires you to authorize access to your Stripe account via Stripe Connect. We operate as your authorized agent for the purpose of retrying failed payments.
2. Eligibility
To use RecoverStripe, you must:
- Be at least 18 years old.
- Have a valid Stripe account in good standing.
- Have the authority to authorize third-party access to your Stripe account.
- Comply with Stripe's Terms of Service and applicable payment regulations.
3. Pricing and Payment
RecoverStripe charges a single, performance-based recovery fee. There are no monthly subscriptions, no setup fees, and no minimum commitments. Recovery fees are tiered based on the total revenue we successfully recover for you in a calendar month:
- 8% on the first $15,000 of recovered revenue per calendar month.
- 6% on recovered revenue between $15,001 and $50,000 per calendar month.
- 3% on recovered revenue above $50,000 per calendar month.
A "successful recovery" means a previously failed payment that was successfully collected through our retry or dunning process and not subsequently refunded or charged back within 30 days. Recovery fees are invoiced monthly in arrears for the previous calendar month's recoveries. If we recover no revenue in a given month, you owe nothing for that month.
We reserve the right to modify pricing with 30 days' written notice. Price changes do not apply retroactively to revenue already recovered.
4. Authorization and Access
By connecting your Stripe account, you authorize RecoverStripe to:
- Receive webhook notifications for payment events.
- Create new payment intents or retry charges on failed payments.
- Send emails to your customers regarding failed payments (using your business name).
- Access payment metadata (amounts, decline codes, timestamps) for recovery purposes.
You may revoke this authorization at any time by disconnecting your account from the dashboard or by revoking access in your Stripe settings.
5. Your Responsibilities
You agree to:
- Ensure your Stripe account remains in good standing.
- Provide accurate contact information for billing and notifications.
- Not use the Service for any unlawful purpose or to process fraudulent transactions.
- Comply with all applicable laws regarding payment processing and email communications.
6. Service Availability
We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by Stripe, AWS, or other third-party service interruptions.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- RecoverStripe is provided "as is" without warranties of any kind, express or implied.
- We do not guarantee any specific recovery rate or recovered amount.
- Our total liability for any claims arising from use of the Service is limited to the fees you paid us in the 12 months preceding the claim.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue.
- We are not responsible for actions taken by Stripe, payment processors, or card networks that affect payment processing.
8. Indemnification
You agree to indemnify and hold harmless RecoverStripe from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
9. Termination
Either party may terminate at any time:
- You: Disconnect your Stripe account from the dashboard or contact support. Active retries will be cancelled immediately.
- We: May terminate or suspend your access for violation of these Terms, non-payment, or at our discretion with 30 days' notice.
Upon termination, we will stop all recovery activities. You remain responsible for any fees incurred prior to termination. Recovery fees for payments recovered before termination are still due.
10. Data and Privacy
Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
11. Modifications
We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
